Board of Directors
Powers
There shall be a Board of Directors of the Ajuong Sudanese Community that shall be responsible for the overall policy and direction of the organization and maintain consistent day-to-day operations of the business. This includes organizing the meetings of the organization, making sure objectives of the organization are satisfied; organizing events for fundraising, making sure that the Ajuong Sudanese Community is progressing everyday, executing the decisions of the organization according to the interest of the members, making monthly presentations to expose Ajuong Sudanese Community to donors, informing members about the progress of the organization, working collectively in harmony with Ajuong state representatives to achieve the goal of the organization, managing organizational funding according to the by-laws, planning the programs of the organization, preparing an annual report for the organization and keeping proper books of the account and other financial reports. The board of directors shall have power to fulfill the interest of the organization and make it an interesting place to invest. The board of directors does not have power to use organization properties for their own interest.
Numbers and Qualifications
The Board of Directors shall consist of 13 members, eight (8) elected officers, and five (5) Members who are volunteers to help Ajuong Sudanese Community. The Board of Director will elect these volunteers. The Executive Director is a member of the board that has a voice, but cannot vote. The board appoints the Executive Director.
Elections and Terms
The Ajuong Sudanese community members must elect the Board of Directors through a majority vote, except five (5) Members who are volunteers to help Ajuong Sudanese Community that will be elected by the Board of Directors. The Board of Directors shall serve no more than three terms. The duration for each term is two years. Two year is anticipated for the Board of Directors to makes extensive progress of the association before the end of their mandate. The five (5) Member volunteers shall stay in the office as long as they are productive and fulfill the needs of Ajuong Sudanese Community.
Meetings and Notices
Meetings of the board shall be called upon the request of the chair, or 1/3 of the board. The board shall meet a many times as needed, at an agreed upon time and place. All board members are required to attend the meetings. The secretary shall send out notices of meetings to each board member at not less than two weeks in advance.
Resignations and Terminations
A board may resign at any time by giving written notice to the President/Secretary of the Ajuong Sudanese Community. The resignation shall take effect as soon as the President/Secretary approves it. A board member shall be terminated from the board due to excess absences, more than five unexcused absences from board meetings in a year. A board member may be removed for other reasons by 2/3 votes of the remaining directors. A board member that misuse organization properties such as money shall be sued according to due process these by-laws.
Vacancies
Vacancies shall be filled by a majority vote of the remaining members of Ajuong Sudanese Community.
Quorum
No formal decisions may be reached without the Board of Directors being at quorum. Quorum shall consist of 2/3 of the Board of Directors and must include no less than one officer from each office. In case of emergency meetings, a quorum shall consist of no less than three (3) voting members and must include no less than one officer.
